Welcome to Vignette Gardens, Inc. (“Vignette Gardens,” “we,” “our,” “us”). These Terms of Use (“Terms”) govern your use of VignetteGardens.com (the “Website”), any digital tools we provide (AI chat and receptionist, booking systems, forms, directories), and your presence at our Facility at 12301 SW 56 ST, Miami, FL 33175. By accessing our Website, interacting with our systems, booking, or entering the Facility, you agree to these Terms.

1) Definitions & Parties

  • Company: Vignette Gardens, Inc.; DBA “Vignette Gardens”.
  • Registered Address: 12301 SW 56 ST, Miami, FL 33175.
  • Authorized Representatives: José Rodriguez and Rigoberto Perez.
  • Client: Person or entity entering into an event agreement with the Company.
  • Guest: Any attendee invited by the Client.
  • Vendor: Third party providing services (e.g., catering, DJ, photo/video, décor).

2) Acceptance & Updates

By using the Website or Facility, you accept these Terms and our Privacy Policy. We may modify these Terms at any time. Updated versions will be posted with a revised “Last Updated” date. Continued use indicates acceptance. If you disagree, discontinue use of the Website and Facility.

3) Website Use, Accounts & Digital Interactions

  • Website actions include scheduling planning calls (Calendly/Google Meet), submitting vendor listings, newsletter sign-ups, and interacting with AI systems.
  • You agree to provide accurate information; you will not upload malware, spam, or infringing/illegal content; and you will not attempt unauthorized access.
  • We use tracking technologies (e.g., Google Analytics, Meta Pixel, TikTok Pixel). See our Privacy Policy for details.
  • Automated contact: For optimal experience, you consent to email, phone, or SMS from staff or automated/AI systems regarding availability, tours, proposals, reminders, and service improvement. You may opt out as described in our Privacy Policy or by contacting us.
  • Third-party tools (e.g., Google Meet, payment gateways) are provided “as is.” We are not responsible for their availability, policies, or security.

4) AI Systems, Recording & Transcription

Our phone/web receptionist and chat may use AI and may record/transcribe interactions for quality assurance and service improvement. You will be notified when AI is in use. Data is handled per our Privacy Policy. To request an alternative non-AI channel or to opt out of recording, contact info@vignettegardens.com.

5) Inquiries, Quotes, Bookings & Confirmation

  • Inquiries and quotes do not guarantee availability or reservation.
  • A booking is confirmed only when (i) we issue written confirmation and (ii) we receive the required deposit/retainer.
  • Package details, setup/breakdown windows, décor permissions, and add-ons are governed by your signed event agreement.
  • We may update pricing, packages, and policies without notice for uncontracted bookings.

6) Payments, Deposits, Refunds & Chargebacks

  • Deposits/Retainers: Unless your signed agreement states otherwise, deposits are non-refundable.
  • Final Payment: Due by the timeline in your event agreement. Late payments may result in cancellation or late fees.
  • Refunds/Credits: Any eligibility or amounts are controlled by your signed agreement and applicable law.
  • Chargebacks: You agree to first attempt resolution with us before initiating a chargeback. Unauthorized or bad-faith chargebacks may incur fees and collection actions.
  • Taxes/Fees: Client is responsible for applicable taxes, service, and processing fees as specified in your agreement.

7) Facility Use – Conduct, Capacity & Timing

7.1 Conduct & Compliance

  • All persons must comply with staff instructions, posted signage, and applicable laws/codes.
  • We may remove individuals engaging in unsafe, disruptive, unlawful, or abusive behavior. No drugs or illegal activity. Designated smoking areas only.
  • Children must be supervised by a responsible adult at all times.

7.2 Capacity & Layout

  • Attendance may not exceed permitted capacity. We may adjust layouts to meet safety codes or operational constraints.
  • Furniture, landscaping, fixtures, or art may not be moved without prior written consent.

7.3 Hours, Curfew, Setup & Breakdown

  • Event start/end times, load-in/out, and cleanup windows are set in the event agreement.
  • Overtime fees may apply for exceeding contracted windows. Quiet-hour or curfew rules may apply per local ordinances.

8) Décor, Prohibited Items & Site Protection

  • Prohibited without written approval: open flames (candles allowed only if enclosed and permitted), fireworks/sparklers, fog/smoke/haze machines, glitter/confetti/rice/feathers, nails/screws/staples/tape that damages surfaces, paint/chalk on surfaces, drones over guests, live animals (except ADA service animals), and hazardous materials.
  • All décor must be free-standing or use non-marring methods approved by staff.
  • Client is responsible for restoring any altered areas and for damage/extra cleaning fees as applicable.

9) Vendors, Insurance & Deliveries

  • Pre-Approved Vendors: Only pre-approved, insured vendors may operate onsite. We may deny or revoke access at our discretion.
  • Insurance: Vendors must maintain coverage customary for their industry and provide certificates of insurance naming “Vignette Gardens, Inc.” as additional insured. Minimums (unless your agreement states higher):
    • Commercial General Liability: $1,000,000 per occurrence / $2,000,000 aggregate
    • Liquor Liability (if serving alcohol): $1,000,000
    • Auto Liability (if applicable): $1,000,000
    • Workers’ Compensation: statutory limits
  • Deliveries/Storage: Deliveries must occur within the contracted window. No overnight storage unless expressly approved in writing.
  • Power/AV: All electrical loads, power distribution, and sound levels must be coordinated with staff. Client is responsible for specialty rentals (e.g., generators, uplights) unless included in your package.

10) Alcohol, Catering & Food Safety

  • Alcohol must be served by licensed, insured bartenders; no self-service; no service to minors or intoxicated persons.
  • Caterers must comply with all health codes. Hot works/open flames require written approval and compliance with fire safety rules.
  • We may suspend service or end events if alcohol policies are violated.

11) Safety, Emergencies & Incident Reporting

  • Follow all emergency procedures and staff directions. Do not block exits, paths, or equipment.
  • Report any injury, spill, fire risk, or unsafe condition to staff immediately. We keep basic first-aid; we are not a medical provider.
  • Client agrees to cooperate with incident reports and, if needed, emergency services.

12) Weather Contingency, Tenting & Force Majeure

  • Contingency: Outdoor events should include a practical rain plan (e.g., tents, schedule shift). Client is responsible for tent rentals unless included in the package.
  • Force Majeure: We are not liable for delays or cancellations caused by events beyond our control (e.g., hurricanes, extreme weather, power failure, government orders, strikes, acts of God). In such cases, remedies are limited to those explicitly stated in your signed agreement.

13) Damage, Cleaning & Lost/Found

  • Client is responsible for damage by Client, Guests, or Vendors. A security deposit may be required; excess costs will be invoiced.
  • Standard cleaning is included unless your agreement states otherwise. Excess cleaning (glitter, wax, spills, trash overflow) may incur fees.
  • Lost/Found items are held for a limited time; we are not responsible for loss or theft.

14) Client Insurance (Recommended/Required)

We strongly recommend that Clients obtain special event liability insurance naming “Vignette Gardens, Inc.” as additional insured. Your agreement may require it. Typical minimums: $1,000,000 per occurrence / $2,000,000 aggregate; host liquor liability if alcohol is provided.

15) Photography, Filming, Privacy & Publicity

  • By hosting/attending, you grant Vignette Gardens the right to capture and use photos/videos of décor and the event environment for marketing, unless you opt out in writing prior to the event. We will make reasonable efforts to honor written opt-outs.
  • Commercial shoots require prior written approval and may incur fees.
  • User-generated content (UGC: reviews, tags, posts) may be used in our marketing under a royalty-free, worldwide license.

16) Vendor Directory, Listings & Sponsored Content

  • Our Website may feature vendor listings (paid or unpaid) and sponsored posts. Inclusion does not constitute endorsement.
  • We are not responsible for third-party vendor quality, availability, or performance.
  • We may remove or modify listings at our discretion, with or without notice.

17) Intellectual Property & DMCA

  • All Website content (text, photos, videos, logos) is owned by Vignette Gardens or its licensors. No reproduction without consent.
  • Report alleged infringement to our DMCA Agent: Vignette Gardens, 12301 SW 56 St, Miami, FL 33175, info@vignettegardens.com. Include: your contact info, work claimed infringed, URL of material, good-faith statement, and a statement under penalty of perjury that you are authorized.

18) Accessibility (ADA)

We aim to provide reasonable accommodations for guests with disabilities. For accessibility arrangements (Website or Facility), contact info@vignettegardens.com at least [Insert #] days before your event or visit.

19) Parking, Valet & Transportation

  • Parking/valet arrangements (if offered) may be managed by third parties. We are not responsible for vehicles or contents.
  • Loading zones must remain clear. Follow staff directions for drop-offs and pickups.

20) Third-Party Links & Services

The Website may link to third-party sites or tools. We do not control and are not responsible for their content, availability, or policies. Use at your own risk.

21) Privacy & Data Handling

Our Privacy Policy explains what we collect and how we use it, including analytics pixels and communications. By using our Website or interacting with our systems, you consent to our data practices.

22) Disclaimers & No Warranties

The Website and third-party tools are provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation or that defects will be corrected.

23) Limitation of Liability

To the fullest extent permitted by law, Vignette Gardens and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits; loss of data; or business interruption arising out of your use of the Website, AI systems, or Facility. Our aggregate liability is limited to amounts you paid directly to us for the specific service giving rise to the claim.

24) Indemnification

You agree to defend, indemnify, and hold harmless Vignette Gardens, its officers, employees, and affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (i) your breach of these Terms; (ii) your event, guests, or vendors; (iii) your use of the Website or AI systems; or (iv) your violation of law or third-party rights.

25) Governing Law, Venue & Disputes

  • These Terms are governed by the laws of the State of Florida.
  • Exclusive venue for disputes is the state or federal courts in Miami-Dade County, Florida.
  • To the extent permitted by law, you waive the right to class action or jury trial.

26) Miscellaneous

  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • No Waiver: Our failure to enforce a provision is not a waiver.
  • Entire Agreement: These Terms + your signed event agreement (if any) constitute the entire understanding regarding the subject matter.
  • Survival: Sections intended to survive termination do so, including IP, payments, limitation of liability, and indemnity.
